5.1 Order Confirmation

When you place an order, you will receive an email acknowledging receipt. This does not constitute acceptance of your order. We reserve the right to accept or decline any order at our sole discretion.

5.2 Reasons for Order Cancellation

We may cancel an order for reasons including but not limited to:

• Product unavailability or supply chain disruption
• Pricing errors on the Site
• Suspected fraud or unauthorized activity
• Export control or sanction restrictions
• Inability to verify business credentials

5.3 Product Specifications

Product descriptions, specifications, and images on our Site are for informational purposes. Technical data sheets (TDS) and material safety data sheets (MSDS) provided separately constitute the definitive product specifications. We reserve the right to modify product formulations with reasonable notice.

6.1 Pricing

All prices are quoted either in Indian Rupees (INR) or in US Dollars (USD) as otherwise specified. Prices are subject to change without notice. Applicable taxes (GST, VAT, customs duties) are calculated at checkout unless otherwise agreed.

6.2 Payment Terms

Payment methods accepted:

• Bank transfer / Wire transfer
• Letter of Credit (subject to verification)
• Corporate credit cards (via secure payment gateway)

For international buyers: Full payment is required before shipment unless an open account or letter of credit has been approved in writing by us.

6.3 Taxes and Duties

You are responsible for all applicable taxes, customs duties, and import fees associated with your purchase. For international shipments, Delivered Duty Unpaid (DDU) is our default shipping term unless Delivered Duty Paid (DDP) is explicitly agreed in writing.

7.1 Governing Trade Terms

All international shipments are governed by Incoterms 2020 as published by the International Chamber of Commerce. The applicable Incoterm for your order will be specified in your quotation or invoice.

7.3 Delays and Force Majeure

We are not liable for shipping delays caused by customs clearance, port congestion, weather, labor disputes, or other events beyond our reasonable control. See Section 14 (Force Majeure).

8.1 Export Laws

You agree to comply with all applicable export control laws and sanctions, including those of India and your destination country. You shall not resell, transfer, or export our products to any sanctioned country, entity, or individual.

8.2 Documentation

We will provide commercial invoices, packing lists, and certificates of analysis as required. You are responsible for obtaining any required import licenses, permits, or certifications for your jurisdiction.

8.3 Restricted End-Uses

Our chemicals are sold for legitimate industrial and commercial uses only. You represent that you will not use our products in connection with:

• Chemical or biological weapons development
• Nuclear proliferation
• Any activity prohibited by Indian or international law

9.1 Quality Claims

We take pride in our quality control. Any claim regarding product quality, damage, or shortage must be reported in writing within 7 days of receipt of goods. After 7 days, the goods are deemed accepted.

9.2 Return Authorization

No returns will be accepted without prior written authorization. We reserve the right to inspect claimed defective products at your facility or require return for analysis.

9.3 Non-Returnable Items

The following cannot be returned:

• Custom-blended products
• Products past their expiry date (if you ordered after expiry)
• Products damaged by improper storage or handling after delivery
• Hazardous materials once opened

9.4 Refund Processing

Approved refunds will be processed within 30 days of return authorization via the original payment method. Shipping costs are non-refundable.

10.1 Ownership

All content on our Site—including text, graphics, logos, product images, technical data, brochures, and videos—is the exclusive property of Ally Integra (OPC) Private Limited and is protected under Indian copyright law and international copyright treaties. The "Zenvynex" name and logo are registered trademarks of the Company.

10.2 Restrictions

You may not, without our express written permission:

• Copy, reproduce, distribute, or create derivative works from our content
• Use our trademarks in meta tags or advertising
• Reverse engineer any product formulation provided in technical documentation

10.3 Copyright Infringement

If you believe content on our Site infringes your copyright, contact our Legal Department with identification of the work, the infringing material, and your contact information.

11.1 No Warranty of Fitness

Product specifications and application suggestions are provided for general guidance. You are solely responsible for determining product suitability for your specific application, conducting appropriate testing, and complying with local safety regulations.

EXCEPT AS EXPRESSLY PROVIDED IN OUR QUOTATION, ALL PRODUCTS ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

13.1 Governing Law

These Terms and any dispute arising from them shall be governed by the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

The courts of Hyderabad, Telangana State, India shall have exclusive jurisdiction over any disputes arising from these Terms or your purchase of our products.

13.3 Arbitration (Optional Clause)

For international disputes, either party may elect to resolve disputes through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in English in Hyderabad, India.
